Is It Safe to Hire a Software Agency in Bangladesh? How to Check

Yes, it can be safe, if you manage the risks that exist with any remote agency. Verify the firm through sources it does not control, such as verified Clutch reviews and reference calls. Put IP assignment and exit terms in the contract. Keep the repository and hosting in your own accounts. Start with a small paid trial. Those four checks cover most of the risk.

RAITHub is a software studio in Dhaka, so it has an interest in your answer. That is why this guide ends with how to check RAITHub by the same rules. It names no other firms. For a weighted scoring checklist and 18 questions to ask on a sales call, read how to choose a software company in Bangladesh. This post covers the question underneath: what could go wrong, and how you protect yourself if it does.

What are the real risks of hiring a software agency in Bangladesh?

Most of them are the risks of hiring any remote agency, in any country. Two are more tied to location: enforcing a contract across borders, and disruption to power or connectivity. Each has a practical fix.

RiskWhat it looks likeHow to reduce it
The firm is not what it claimsJuniors or subcontracted freelancers behind a senior salespersonMeet the engineers before signing; require consent for any subcontracting
You don't control your codeRepository, hosting or domain registered to the agencyEvery account in your name from day one; the agency is added as a member
Quality you can't seeFeatures demo well and break after launchTests in your repository, run in CI; a paid trial before the main contract
Paying for work not deliveredA large upfront payment, then slipping datesMilestones paid on accepted, working software
Key-person dependencyOne engineer knows everything and then leavesDocumentation kept current; a handover clause; code review by a second person
Data exposureBroad access to production data "for debugging"Least-privilege access, a data processing agreement, and test data by default
Cross-border disputesA contract that would have to be enforced in another country's courtsChoose governing law and dispute resolution deliberately (see below)
Local disruptionOutages that stop work for daysAsk about backup power and connectivity; keep your code and accounts where you control them

The last risk is real, not hypothetical. During the July 2024 protests in Bangladesh, internet service was cut off intermittently, and the crackdown ended on 5 August 2024. It disrupted international business and freelance work (Wikipedia: internet censorship in Bangladesh). The protection is the same as for any vendor outage. If your code, hosting and documentation live in your accounts, a pause at the agency delays work but never locks you out of your product.

Time zones are a planning issue rather than a risk. Bangladesh runs on UTC+6 with no daylight saving, so the UK and Europe get a morning overlap, and the US East Coast gets a short window. The Bangladesh vs India comparison sets out overlap hours by city.

How do you verify a Bangladeshi agency before you sign?

Use evidence the agency cannot write for itself. Testimonials on its own website prove little. Five checks cover most of it:

  1. Read verified reviews. Clutch says every review goes through a verification process that confirms the reviewer's proof of identity and work history. A review it cannot verify, but still finds useful, is published labelled "Not Verified" (Clutch: how reviews are verified). Read for project size, date and what went wrong, not the star rating. Clutch's Bangladesh directory is a starting list.
  2. Check the reviewers are real. Look up two or three reviewers' companies and roles. A review from a firm that doesn't seem to exist is a warning.
  3. Meet the engineers. On video, before signing, the people who will write your code, not only the person selling it. Ask each one to explain a recent technical decision.
  4. See real code. A public repository, a sanitised sample, or a screen-shared walkthrough of a live codebase under NDA. Look for tests beside the code and a CI configuration.
  5. Call references yourself. Ask what was late, what broke after launch, and whether they would hire the firm again. The answer to the last question is the one to listen to.

A firm with no reviews is not automatically unsafe. Young firms have none. But it then has to prove itself another way, and the paid trial below is the strongest one.

What should the contract say to protect you?

Six clauses do most of the work. What follows is general information, not legal advice. Have a lawyer in your own country review the contract, and confirm the details with your adviser.

ClauseWhat it should sayWhy it matters
IP assignmentA present assignment of all work product to you, not "on final payment"Ownership doesn't hang on a payment dispute
Accounts and accessRepositories, hosting, domains and third-party accounts belong to youYou can remove the agency without losing anything
PaymentMilestones tied to accepted, working deliverablesYou never prepay far ahead of what exists
Termination and handoverEither side can end with short notice; the agency hands over code, documentation and credentialsA bad fit ends cleanly
Subcontracting and confidentialityNo subcontracting without written consent; an NDA covering everyone on the projectYou know who sees your product
DisputesA named governing law, and arbitration or courts chosen with enforcement in mindA judgment or award you can actually use

On disputes, one fact is useful to know. Bangladesh is a party to the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards, which it acceded to in 1992 (UNCITRAL: New York Convention status). That is why cross-border contracts often choose arbitration. Whether it suits your contract is a question for your lawyer. For US buyers, the offshore IP assignment checklist goes clause by clause.

If you share personal data with the agency, add a data processing agreement, and standard contractual clauses where your law requires them for transfers. Ask the agency to confirm, in writing, that it follows your security controls.

How do you keep control of your code and accounts?

Own the containers, and give the agency access to them. Create the GitHub organisation, the cloud account, the domain and the payment provider account yourself, and add the agency's engineers as members. If the agency has already started a repository in its own account, have it transferred. GitHub moves the issues, pull requests, wiki, stars and watchers with the repository, and redirects links from the old location. The person transferring needs admin access (GitHub: transferring a repository).

Then check it weekly. Commits land in your repository, the build runs in your CI, and secrets sit in a vault you control. If you ever need to part ways, the software handover checklist lists what to collect. If you are already locked out, how to get your source code from a developer covers the recovery.

How do you run a paid trial with an agency?

Pay for one to two weeks of real, contained work at the agency's normal rate, and judge the process as much as the result. A trial costs little next to a failed six-month project, and it is the one check a sales call cannot fake.

What to judgeGood signWarning sign
Questions before startingSpecific questions about edge cases and dataNo questions at all
The pull requestSmall, readable changes with a clear descriptionOne large drop at the end
TestsTests for the new behaviour, running in CI"We'll add tests later"
Progress reportsShort written updates, problems raised earlySilence, then a surprise
Who did the workThe engineers you metNames you have never heard

Choose a trial task you need anyway, such as one feature, a bug with a clear reproduction, or a small integration. That way the money isn't wasted even if you don't continue.

What are the red flags?

  • The agency wants the repository, hosting or domain in its own name.
  • It asks for most of the fee upfront, or months of prepayment.
  • It won't name or introduce the engineers before you sign.
  • Its only reviews are on its own website.
  • IP transfers only "on final payment".
  • No tests in the proposal, or tests priced as an optional extra.
  • Pressure to sign this week, or a discount that expires in days.
  • It resists putting overlap hours, the NDA or the change process in writing.

One red flag is a reason to stop and get it fixed in writing. Two are a reason to walk away.

How do you check RAITHub too?

Apply every check above. These are RAITHub's own answers, so you can hold the contract and the first call to them. They were last reviewed on 29 September 2026.

  • Who are you? A founder-led studio, founded in 2024 in Dhaka. Rupak Amin, Founder & Lead Engineer, reviews the architecture on every engagement. Delivery is in English.
  • Do you have verified reviews? Not yet. RAITHub had no published Clutch or GoodFirms reviews at the last review of this post. Search Clutch yourself for the current state, rather than taking this page's word for it.
  • What can I check instead? Case studies with figures on the work page. PropDesk has 1,024 automated tests, and Sundor Skin has 530+ tests across 146 PostgreSQL tables with row-level security. TheSkinProof has 750+ tests. It is the founder's own venture, not a client project, and is labelled as such. Ask for a code walkthrough under NDA and check that the numbers hold up.
  • Who owns the code? You do, through present assignment, and an NDA is standard. Ask for the repository and hosting to be in your own accounts, and check the contract says so.
  • Are you certified? No. RAITHub is not SOC 2 or ISO 27001 certified. It signs DPAs and SCCs and follows your controls. The practices are on the security page.
  • How do you charge? Fixed scope at a fixed price, or a dedicated monthly team. No staff augmentation and no public rates. You get a written quote after a free 15-minute technical audit (see pricing).
  • Can I start small? Yes. A contained fixed-scope job, such as a single fix through the fix one issue page or a short diagnostic through code rescue, works as a paid trial.

When is RAITHub the wrong choice?

When your procurement requires SOC 2 or ISO 27001 certification, or third-party reviews on file before signing. Also when you need a large team next month, want engineers placed inside your own team, need delivery in a language other than English, or are building a licensed fintech or health product without a compliance partner. In those cases a larger or more specialised firm is the safer choice, and the checks in this guide will help you find one.

To run these checks on RAITHub directly, book the free 15-minute technical audit and ask anything on this page.

Frequently asked questions

Is it safe to outsource software development to Bangladesh?

It can be, with the same safeguards as any remote vendor. Verify the firm independently, keep code and accounts in your name, assign IP to yourself in the contract, pay against working milestones, and start with a paid trial.

How can I tell if a Bangladeshi software agency is legitimate?

Look for verified reviews on a platform such as Clutch, check that reviewers and their companies exist, meet the engineers on video, see real code, and call references yourself. Then run a small paid trial.

Who owns the code when I hire an agency abroad?

Whoever the contract says. Insist on a present assignment of IP to you, not a transfer "on final payment", and keep the repository in your own account. Confirm the wording with your lawyer.

How should I pay an offshore software agency?

Through milestones paid when working software is accepted, with any deposit kept small. Avoid prepaying months ahead of delivered work.

What happens if the agency stops working or disappears?

If your code, hosting, domain and documentation are in your accounts, you lose time, not your product. Another team can pick it up with a handover checklist. That is the main reason to own the accounts from day one.

Does RAITHub have Clutch reviews?

Not as of the last review of this post. RAITHub publishes case studies with measurable figures and accepts small fixed-scope jobs you can use as a paid trial. Ask for a code walkthrough under NDA too. Check Clutch yourself for the current state.
